Terms of use
Effective date: October 13, 2026
These terms of use ("terms") are an agreement between you and IntelliCommerce Inc., which operates ResaleChamp ("we", "us" or "our"). They apply when you use our website, our web app, our mobile apps and the ResaleChampConnector Chrome extension (together, the "Services"). Please read them with our privacy policy.
01
The short version
This is a plain summary. The full terms below are what apply.
- You run your own selling business. You are responsible for what you list and for following each marketplace's rules and the law.
- We are independent. We are not affiliated with, or endorsed by, any marketplace or sales channel you connect.
- You authorize us to act on the accounts you connect, only to do what you ask. An optional feature, which you must turn on yourself, lets us keep working while your computer is off.
- If you connect eBay, eBay's API License Agreement applies to you too, and eBay can enforce these terms.
- AI suggestions can be wrong. You review every listing before it is published.
- ResaleChamp is free during the beta. We will give you notice before any fee applies to you.
- You can stop at any time. We can suspend or end access for the reasons in these terms.
02
Agreeing to these terms
By creating an account, joining an organization or otherwise using the Services, you agree to these terms and to our privacy policy. If you use the Services for a business, you agree for that business and confirm you have the authority to do so.
If you do not agree, please do not use the Services.
03
Eligibility and your account
You must be at least 18 and able to enter a binding contract to use the Services. They are built for people and businesses that sell.
- Give us accurate information, and keep it up to date.
- Keep your sign-in secure. Do not share it with anyone. Each person should have their own.
- Tell us promptly at team@resalechamp.com if you think someone has used your account without permission.
- You are responsible for what happens under your account.
04
Organizations and members
An organization belongs to the business that created it. Its administrators decide who joins, what roles they have, and which marketplaces the organization connects.
- If you administer an organization, you are responsible for the people you invite and for what they do in it.
- If you join an organization, its administrators can see and manage what you add to it. Its data belongs to the organization, not to you personally.
- We treat instructions from an organization's administrators as the organization's instructions.
05
Acceptable use
You agree not to:
- Break the law, or use the Services for anything fraudulent or deceptive, including listing counterfeit, stolen, recalled or prohibited items.
- Use the Services to break a marketplace's rules or terms, or to get around its limits, bans or security measures.
- Infringe anyone's intellectual property or other rights, including with the photos, descriptions or brand names in your listings.
- Access the Services by automated means we have not provided, probe or break their security, upload malicious code, or interfere with how they work.

- Send spam, collect other people's information without their consent, or contact or market to buyers using information you get through the Services where the law or a marketplace's rules do not allow it.
06
Marketplaces and other third-party platforms
ResaleChamp works with third-party marketplaces and sales channels. We are independent of them.
- No affiliation. We are not affiliated with, endorsed by or certified by any platform you connect. Their names and logos belong to their owners, and are used only to say which platforms we work with.
- Their terms still apply to you.Your use of a platform stays under that platform's own terms, seller policies and fees. Read them.
- They can change things at any time. A platform can change, limit or withdraw its services, connections or rules, or limit your access, at any time and without asking us. We are not responsible for what a platform does.
- You are responsible for your listings. That means what you list, how you describe it, whether it is allowed to be sold and listed where you list it, and your own taxes, shipping and customer service. We prepare drafts to help you. We do not decide what a platform accepts, and we cannot make an item eligible that a platform does not allow.
- You are responsible for your own compliancewith the law and with each platform's rules, including its rules on third-party tools and automation.
You can disconnect a platform from ResaleChamp whenever you like.
08
Terms some platforms require us to pass on
Some platforms let us connect through their developer programs only if our agreement with you includes certain terms. Those terms are below, and they are part of these terms.
eBay
We connect to eBay through the eBay Developers Program, under the eBay API License Agreement. If you connect an eBay account to ResaleChamp:
- You agree to be bound by the eBay API License Agreement.
- eBay is a third-party beneficiary of these terms, and may enforce them against you directly.
- Your right to use eBay through ResaleChamp is a sublicence of our access, and it can be revoked at any time.
- eBay's own User Agreement and policies continue to apply to your eBay account and your listings.
You can end our access at any time by disconnecting eBay in ResaleChamp, or in your eBay account settings.
09
Your content and our licence
You keep ownership of everything you and your team put into ResaleChamp: photos, descriptions, inventory, manifests and sales records ("your content").
You give us a worldwide, non-exclusive, royalty-free licence to host, store, process, copy, resize and transmit your content, only as needed to run, secure and improve the Services for you. That includes sending your listings to the platforms you choose, and processing your content with the AI features you use. The licence ends when you delete your content, apart from what backups and the law require us to keep.
You confirm that you have the rights to your content, that it is accurate, and that it does not break the law or anyone's rights. How we handle personal information, including buyer information, is in our privacy policy. You are responsible for using buyer information lawfully.
We own the Services: the software, design and brand. While these terms apply, we give you a limited, non-exclusive, non-transferable right to use them. If you send us ideas or feedback, we may use them without owing you anything.
10
AI-generated suggestions
Some features use AI to identify items, read labels and draft listings, including condition grades and listing text. Suggestions can be wrong, incomplete or out of date. Review every listing before it is published. You remain responsible for what you list and how you describe it, including its condition, its authenticity and whether it is allowed. We do not promise that any suggestion is accurate.
11
Beta and fees
The Services are in beta, and they are free to use during the beta. Beta features may change, be limited or be withdrawn, and may not work as expected.
We plan to charge for the Services later. We will tell you the price, and give you notice, before any fee applies to you. You will not be charged unless you agree to a paid plan. If you do not agree, you can stop using the Services.
Fees and taxes charged by platforms, payment processors and carriers are between you and them.
12
Availability and changes
We work to keep the Services available, but we do not promise they will be uninterrupted or error-free. We may change, suspend or stop any part of them, and we will give you notice where that is reasonable.
Keeping stock in step and taking listings down depends on the platforms and on your connections, so it can be delayed or fail. We do not promise to prevent every double sale or to take a listing down in time. Keep an eye on your stock, and fulfil the orders you accept.
13
Disclaimers
The Services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
We do not guarantee any sale, price or marketplace outcome. We do not promise that a platform will accept a listing, keep an account active or keep its services available to you.
14
Limitation of liability
To the fullest extent the law allows, ResaleChamp will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services is limited to the greater of the amount you paid us for them in the twelve months before the claim arose and US$100.
Nothing in these terms limits a liability that the law does not allow to be limited.
15
Indemnity
You agree to defend and indemnify ResaleChampagainst claims arising from the items you list, your content, your use of the accounts you connect, your breach of these terms or of a platform's rules, or your violation of anyone's rights.
16
Suspension, termination and your data
You can stop using ResaleChamp at any time, and you can ask us to delete your account as described in our privacy policy.
We may suspend or end your access to the Services, or to a particular platform connection, if you breach these terms, if a platform or the law requires it, or if we need to in order to protect the Services, our users or others. Where we reasonably can, we will tell you why and give you time to export your data.
What happens to your data
- When access ends, we stop acting on your connected accounts, and we delete the stored platform access and any sign-in session copy, as our privacy policy says.
- We delete or anonymize the rest of your data on the schedule in the privacy policy.
- Listings already live on a platform stay there. You can end them on the platform.
Sections that by their nature should continue, such as the disclaimers, the limit on liability, the indemnity and the governing law, continue after these terms end.
17
Governing law
These terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Texas, and you and we consent to their jurisdiction.
18
Changes to these terms
We may update these terms from time to time. The effective date at the top of this page shows the current version. If we make material changes, we will tell you on the website, in the app or by email before they take effect. If you keep using the Services after that, you accept the updated terms. If you do not accept them, stop using the Services and delete your account.
